When the engagement isn't employment.
Not every working relationship is employment. Independent contractors, consultants, and retained advisors sit outside the employee structure and need their own agreements — with the classification language, IP treatment, and termination clauses adjusted accordingly.
Three agreements: independent contractor for deliverable-based engagements, consultant for advisory engagements, retainer for recurring availability. All three are drafted against the current contractor-classification frameworks (US ABC test; AU Fair Work contractor reforms 2024).
Independent contractor agreement
An independent-contractor agreement structured to satisfy current US contractor-classification tests and AU Fair Work contractor reforms.
Consultant agreement
A consultant agreement for advisory-style engagement — retainer or per-day fees, defined scope, ethics-conflict provisions, and the lighter IP treatment appropriate to advice (vs deliverable IP)..
Retainer agreement
A retainer agreement for recurring services — a fixed monthly fee in exchange for a defined scope of work or availability.
